The Grand Central District Association will hold its Annual Meeting at Hideaway Cafe on Monday, Sept 25th at 6 pm. The agenda includes a review of the past fiscal year and election of new officers.

Definition of Board of Directors: The Board of Directors is that group of persons vested with the management of the business and affairs of this Corporation subject to the laws of the State of Florida, the Articles of Incorporation, and these bylaws.

Qualifications: Directorships shall not be denied to any person on the basis of race, creed, sex, religion, or national origin. Directorships shall be open to those holding current membership in the GCDA from the Business/Organization/Resident classes of membership and who are members in good standing and otherwise qualified to stand for election.

Number of Directors: The Board of Directors shall consist of at least eight and no more than 15 members, the number thereof to be determined from time to time by resolution of the Board of Directors. The Board shall include elected and appointed Directors. Directors elected by the general membership at the annual meeting shall be: President, Vice-President, Secretary, Treasurer (see BELOW).

Appointed Directors shall include: Most recent Past President, Chairpersons of the Design, Organization, Promotions, and Economic Development committees and At-Large Directors – 65% must reside or own property or be employed or own a business within the GCDA boundaries.

Terms of Directors: Directors shall serve terms of one year unless re-elected or re-appointed to succeeding terms.


President: The President will perform all duties incident to such office and such other duties as may be provided in these bylaws or as may be prescribed from time to time by the Board of Directors. The President shall preside at all board meetings and shall exercise parliamentary control in accordance with Robert’s Rules of Order.

Vice President: The Vice President shall act in place of the President in the event of the President’s absence, inability, or refusal to act, and shall exercise and discharge such other duties as may be required by the board.

Secretary: The Secretary will keep minutes of all meetings of the Board of Directors, (the Executive Director shall be the custodian of the corporate records), will give all notices as are required by law or these bylaws, and generally, will perform all duties incident to the office of Secretary and such other duties as may be required by law, by the Articles of Incorporation, or by these bylaws. Any such duties not required by law to be performed by the Secretary may be assigned to an Executive Director appointed by the Board of Directors of GCDA.

Treasurer: The Treasurer will monitor the fiscal affairs of the corporation, will render reports to the Directors as required by the Board of Directors, and will perform, in general all duties, which may be assigned from time to time by the Board of Directors. On a monthly basis shall verify the reconciliation of the books prior to each board meeting.
